1. Introduction

PlatinumMeds is a medication management and health tracking application for people living with kidney disease, including chronic kidney disease (CKD) patients, dialysis patients, transplant recipients, and the caregivers who support them. The app is available on iOS and Android. PlatinumMeds is operated by Justin Pham LLC, a California limited liability company (“Justin Pham LLC”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your use of the PlatinumMeds mobile applications and the account services supporting them (together, the “Service”). Throughout these Terms, “you” means the individual using the Service, whether as a patient or as a caregiver. PlatinumMeds is a wellness and organizational tool. It is not a medical device, it does not provide medical advice, and it is not a substitute for professional healthcare. Sections 26 and 27 are important — please read them.

2. Acceptance of Terms

By creating an account, or by otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not create an account and do not use the Service. If you are using the Service on behalf of another person or an organization, you confirm that you have the authority to accept these Terms on their behalf.

3. Eligibility

You must be 17 years of age or older to use the Service. You are asked to confirm your age when you create an account. The Service is not directed at children, and we do not knowingly permit anyone under 17 to hold an account. If we become aware that an account holder is under 17, we will close the account and delete the associated data. You must also be capable of forming a binding contract under the laws applicable to you, and you must not be barred from using the Service under any applicable law.

4. User Accounts

An account is required to use the Service. You may register as a patient or as a caregiver; the features available to you depend on the role you select. When you register, you agree to provide accurate and complete information and to keep it current. You are responsible for all activity that occurs under your account. Accounts are personal to you. You may not share your account credentials, allow another person to use your account, or transfer your account to anyone else. If you want another person to have access to your health information, use the caregiver linking feature described in Section 11 rather than sharing your login. You must notify us promptly at the address in Section 38 if you believe your account has been accessed without your authorization.

5. Authentication

You may create and access your account using any of the following methods:
  • Email and password.You are responsible for choosing a strong, unique password and for keeping it confidential.
  • Google Sign-In.Authentication is performed by Google, which confirms your identity and provides your name and email address to us.
  • Sign in with Apple(iOS only). Authentication is performed by Apple, which confirms your identity and provides your name and email address to us. If you use Apple’s Hide My Email feature, we receive a private relay address, and account communications will be sent to that address.
We never receive your Google or Apple password. Your use of those sign-in methods is also governed by the terms of the relevant provider. If you sign in through Google or Apple and later disable that connection or lose access to the underlying account, you may lose access to your PlatinumMeds account. We may be unable to restore access in those circumstances.

6. User Responsibilities

You are responsible for the accuracy of the information you enter into the Service. The Service organizes and displays the information you provide; it does not verify it. Incorrect medication names, doses, schedules, or laboratory values will produce incorrect reminders, records, and summaries. You agree that you will:
  • Enter medication, dose, and schedule information that matches what your prescriber and pharmacist have directed;
  • Keep your medication list current when your treatment changes;
  • Review reminders and records for accuracy and correct any errors;
  • Maintain your own independent means of managing critical medication, and not rely on the Service alone;
  • Grant caregiver access only to people you trust with your medical information; and
  • Comply with all laws applicable to your use of the Service.

7. Acceptable Use

You may use the Service only for your own personal, non-commercial health management, or — if you are a caregiver — to support a patient who has linked their account to yours. You agree to use the Service in a manner consistent with these Terms, with applicable law, and with the rights of other users.

8. Prohibited Activities

You must not:
  • Use the Service for any unlawful purpose, or in violation of any applicable law or regulation;
  • Provide false information about your identity, age, or role, or impersonate another person;
  • Access, or attempt to access, another user’s account or data without authorization;
  • Use the caregiver features to obtain access to a person’s health information without their genuine, informed consent;
  • Upload, send, or store content that is unlawful, defamatory, harassing, abusive, obscene, or that infringes the rights of others;
  • Upload files containing malware, or otherwise attempt to interfere with, disrupt, or compromise the Service or its infrastructure;
  • Probe, scan, or test the vulnerability of the Service, or circumvent any authentication, rate limiting, access control, or subscription restriction;
  • Reverse engineer, decompile, or disassemble the applications, except to the extent that applicable law expressly permits this notwithstanding a contractual restriction;
  • Scrape, harvest, or systematically extract data from the Service, including the medication library, whether manually or by automated means;
  • Resell, sublicense, or commercially exploit the Service or any part of it, or use it to provide a service to third parties;
  • Use the Service to provide clinical care, diagnosis, or treatment recommendations to patients as part of a professional practice; or
  • Use the Service in any way that could damage, disable, overburden, or impair it, or interfere with any other user’s use of it.
We may investigate suspected breaches of this Section and take the action described in Section 30.

9. Medication Information

The Service includes a library of kidney-related medication information, which may include general descriptions, common dose ranges, typical frequencies, food and administration notes, common side effects, and known interactions. This information is provided for general reference only. It is not tailored to you, it is not exhaustive, and it does not replace the information supplied with your medication, the directions of your prescriber, or the advice of your pharmacist. Medication information changes over time, and the library may not reflect the most recent guidance. You must not rely on the library — or on any other content in the Service — to determine what medication to take, how much to take, when to take it, or whether to start, stop, or change any medication. Those decisions belong to you and your care team. Where the Service displays laboratory reference ranges, those ranges are general and vary between laboratories and between patients. Expected values for dialysis and CKD patients frequently differ from general population ranges. Discuss any result with your care team rather than interpreting it yourself.

10. Reminder Service Limitations

Medication reminders, refill alerts, fluid reminders, and caregiver notifications are provided as a convenience. We do not guarantee that any reminder or notification will be delivered, delivered on time, or delivered at all. Delivery depends on factors outside our control, including:
  • Your device being powered on, functional, and connected to a network;
  • Notification permissions remaining enabled for PlatinumMeds;
  • Operating system behavior, including battery optimization, power saving modes, Focus or Do Not Disturb settings, and background activity restrictions imposed by your device manufacturer;
  • On Android, the exact alarm permission remaining granted;
  • The availability of Apple Push Notification service and Firebase Cloud Messaging; and
  • Your own correct configuration of schedules and time zones.
Notifications may also display medication names or dose details on your lock screen, where they may be visible to others. You can control this in your device settings. Because delivery cannot be guaranteed, you must not rely on the Service as your sole method of remembering or administering medication. Maintain an independent system, and speak to your care team about how to manage doses safely if a reminder is missed. Appointment reminders are subject to the same limitations. Quiet hours silence other notifications during the period you set, but medication dose reminders are still delivered.

11. Caregiver Features

The Service allows a patient and a caregiver to link their accounts so that the caregiver can help manage the patient’s medication routine. Consent. A link is created only where both parties agree: one sends an invitation, the other accepts it. Links are never created automatically. Scope of access. While a link is active, the caregiver can view the patient’s medication list and schedules, dose history and adherence records, lab results and uploaded lab report files, fluid intake records, appointments, medication supply and refill status, and related alerts, and can send the patient reminders and messages. The full scope is described in the Privacy Policy. The caregiver can also view blood pressure and weight readings, symptom entries, and food records, record a symptom entry on the patient’s behalf, and generate and view the patient’s health report. The patient chooses whether a caregiver may download or share that report. Control. Either party may remove the link at any time from Settings. Removing a link immediately revokes the caregiver’s ongoing access. Information the caregiver already viewed or retained remains in their possession, and we cannot recall it. Number of links. The number of caregivers a patient may link is determined by the patient’s subscription plan, as described in Section 14. Responsibility. A caregiver acts on their own responsibility and not on ours. We do not verify the identity, relationship, qualifications, or conduct of any caregiver, and we are not a party to the relationship between a patient and a caregiver. We are not responsible for how a caregiver uses, stores, or discloses information they obtain through the Service, or for any action or omission by a caregiver. If you are a caregiver, you agree to use the patient’s information only to support that patient’s care, to keep it confidential, and to stop using it if the link is removed.

12. User Generated Content

The Service allows you to create content, including messages exchanged with a linked caregiver, notes attached to medications, lab results, appointments, symptom entries, food records and their tags, and custom medication entries (“User Content”). Ownership. You retain ownership of your User Content. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, transmit, and display your User Content solely to operate, secure, and support the Service for you and any caregiver you have linked. This licence ends when the content is deleted, subject to the retention periods in the Privacy Policy. Your responsibility. You are solely responsible for your User Content and confirm that you hold the rights necessary to submit it and that it does not infringe the rights of any third party or breach Section 8. Monitoring. We do not routinely monitor User Content, and messages are private between the patient and the linked caregiver. We do not undertake to review it. We reserve the right, but not the obligation, to review, remove, or restrict access to User Content that we reasonably believe breaches these Terms or applicable law, or that we are legally required to act upon. Reporting. If you receive content through the Service that is abusive, harassing, or otherwise objectionable, or that infringes your copyright, contact us at the address in Section 38. We will review reports and take appropriate action, which may include removing content, unlinking accounts, or suspending or terminating an account under Section 30.

13. Uploaded Files

You may upload files to the Service, including photographs or PDFs of lab reports, a profile photograph, and attachments sent in a caregiver conversation. The following limits apply:
File type Limit
Lab report image or PDF 10 MB per file
Chat image attachment 5 MB per file
Chat document attachment (PDF or Word) 10 MB per file
By uploading a file you confirm that you have the right to do so and that the file does not contain malware or infringing material. Lab reports and similar medical documents frequently contain information beyond the value you intend to record, including full name, date of birth, medical record number, and the ordering physician. Review a document before uploading it, and bear in mind that a linked caregiver will be able to view files you attach to your health records or send in a conversation. We may refuse, remove, or restrict access to any file that exceeds these limits, is of an unsupported type, or breaches these Terms. We do not guarantee that uploaded files will be retained indefinitely or that they can be recovered if deleted, and you should keep your own copies of any document you need.

14. Subscription Plans

The Service is offered on a free plan and on paid subscription plans.
Plan Access
Free Core medication management, limited to five active medicines. Persistent medication alarms, the last 30 days of dose history, full medicine library browsing, appointments tracker, blood pressure and weight tracking, symptom diary, and food records. No caregiver linking.
Plus Unlimited medicines, refill reminders, full dose history, custom medicine entry, and linking of one caregiver.
Platinum Everything in Plus, together with lab result tracking, fluid tracking, health report export, and unlimited caregiver linking.
Paid plans are offered on monthly and annual billing periods. Current prices are displayed in the app before purchase and are set in the currency of your Apple App Store or Google Play account. Prices, plan names, and the features included in each plan may change; changes to the features of a plan you already hold are addressed in Section 37. The free plan is available indefinitely and does not require payment. We do not currently offer a free trial. If an introductory offer or free trial is made available in future, its terms, duration, and the price payable at the end of it will be disclosed to you at the point of purchase.

15. Billing

All purchases are processed by Apple (App Store) or Google (Google Play), depending on the platform you purchase from. We do not process payments and never receive or store your payment card details. Subscription status is relayed to us through RevenueCat, as described in the Privacy Policy. When you purchase a subscription, payment is charged to your Apple or Google account on confirmation of purchase. Your relationship with Apple or Google for that payment is governed by their terms, and any billing dispute must be raised with them. Prices are inclusive of taxes where the platform is required to collect them; otherwise, you are responsible for any applicable taxes. A subscription purchased through one platform can only be managed and cancelled through that platform. A subscription bought on the App Store cannot be cancelled through Google Play, and the reverse is also true.

16. Auto Renewals

Paid subscriptions renew automatically. Unless you cancel, your subscription will renew at the end of each billing period, and your Apple or Google account will be charged the then-current price for the next period. Your account is charged for renewal within 24 hours prior to the end of the current period. You can view your renewal date and the applicable price at any time in your platform’s subscription settings. If we change the price of a subscription you hold, Apple or Google will notify you and, where required, obtain your consent before the new price takes effect. If you do not agree to the new price, you may cancel before the next renewal.

17. Cancellation

You may cancel a subscription at any time:
  • iOS:Settings → your name → Subscriptions → PlatinumMeds → Cancel Subscription
  • Android:Google Play → Profile → Payments and subscriptions → Subscriptions → PlatinumMeds → Cancel
Cancellation must be completed at least 24 hours before the end of the current billing period to prevent the next renewal. Cancelling later in the period will not stop the upcoming charge. Cancellation stops future renewals. It does not end your current period: you keep access to your paid features until the period you have already paid for expires, after which your account reverts to the free plan. If your account reverts to the free plan while you hold more than five active medicines or more caregiver links than the free plan permits, existing records are not deleted, but you may be unable to add further medicines or caregivers until you are within the free plan limits or subscribe again. Deleting your account does not cancel your subscription. Cancel through your platform first — see Section 31.

18. Refund Policy

Because all purchases are processed by Apple and Google, refunds are handled by them and are subject to their policies. We are not able to issue refunds for purchases made through the App Store or Google Play.
  • App Store purchases:request a refund at https://reportaproblem.apple.com
  • Google Play purchases:request a refund through Google Play, or at https://support.google.com/googleplay
We do not provide refunds or credits for partial billing periods, for periods during which you did not use the Service, or where access is suspended or terminated because of a breach of these Terms. Nothing in this Section limits any non-waivable statutory right you hold as a consumer under the law of your country of residence, including any statutory right of withdrawal or cancellation.

19. Intellectual Property

The Service, including its software, source code, design, user interface, graphics, icons, text, the compiled medication library, and the PlatinumMeds name and branding, is owned by Justin Pham LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited licence granted in Section 20, these Terms do not transfer any right, title, or interest in the Service to you. You may not use the PlatinumMeds name, logo, or branding without our prior written permission. Third-party names and marks appearing in the Service, including medication brand names, remain the property of their respective owners and are used for identification only. Their appearance does not imply any endorsement of, or affiliation with, PlatinumMeds. If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

20. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the PlatinumMeds application on a device you own or control, for your own personal and non-commercial use. This licence does not permit you to copy, modify, distribute, sell, lease, or create derivative works from the Service, or to make it available to any third party. The licence terminates automatically if you breach these Terms or when your account is closed.

21. Third Party Services

The Service depends on third-party providers, including Google Firebase, Google Cloud Platform, the Google Places API, Google Sign-In, Sign in with Apple, RevenueCat, and the Apple App Store and Google Play. The information each provider receives is described in the Privacy Policy. We do not control these providers. Their availability, performance, and terms are their own, and interruption or change to any of them may affect the Service. Your use of a third-party service is governed by that provider’s terms and privacy policy. The Nearby Pharmacies feature returns results supplied by the Google Places API. We do not verify, endorse, or take responsibility for pharmacy listings, including their accuracy, opening hours, contact details, stock, or the services they provide. Confirm details directly with a pharmacy before relying on them.

Apple App Store additional terms

The following applies where you obtained the application from the Apple App Store:
  • These Terms are between you and Justin Pham LLC only, and not with Apple. Apple is not responsible for the application or its content.
  • Apple has no obligation to provide any maintenance or support for the application.
  • If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the application to you if applicable. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
  • Apple is not responsible for addressing any claim by you or a third party relating to the application, including product liability claims, claims that the application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the application infringes that third party’s intellectual property rights.
  • You confirm that you comply with the representations in Section 34.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, on your acceptance, will have the right to enforce them against you.

Google Play additional terms

Where you obtained the application from Google Play, your use is additionally subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the application or its content.

22. Service Availability

We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or available at any particular time. The Service is provided on an “as is” and “as available” basis. Access may be interrupted by maintenance, technical faults, network or device problems, third-party provider outages, or events beyond our reasonable control. Features that depend on a network connection, including caregiver messaging, Nearby Pharmacies, and synchronization of your records, will not function while your device is offline. We may modify, suspend, limit, or discontinue any part of the Service. Where we discontinue a material feature or the Service as a whole, we will give reasonable advance notice through the app or by email where practicable, and will provide a reasonable opportunity to retrieve your information.

23. Maintenance

We may carry out maintenance that temporarily interrupts the Service. Where maintenance is planned and likely to cause significant disruption, we will give advance notice where reasonably practicable. Urgent maintenance, including work required to address a security issue, may be carried out without notice. Medication reminders that would have been delivered during an interruption may be delayed or not delivered. Section 10 applies.

24. Updates

We may release updates to the application, including new features, changes to existing features, corrections, and security fixes. Your device may install updates automatically depending on your settings. Some updates are required for the Service to continue functioning, and older versions of the application may stop working. You are responsible for keeping the application reasonably up to date, and we do not support versions that are no longer current. Updates are governed by these Terms unless accompanied by separate terms.

25. Beta Features

We do not currently offer beta, preview, or early-access features. If we make such a feature available in future, it will be identified as such at the point of access. Any feature offered on that basis is provided for evaluation only, is supplied “as is” and without warranty of any kind, may contain defects, may be changed or withdrawn at any time, and should not be relied upon for managing medication. Sections 26 to 28 apply to any such feature in full.

26. Disclaimer of Medical Advice

PlatinumMeds is not a medical device. It is a wellness and medication management tool. It has not been evaluated, cleared, or approved by the U.S. Food and Drug Administration or by any other regulatory authority as a medical device. The Service does not diagnose, treat, cure, monitor, or prevent any disease or condition, and it does not provide medical advice. Nothing in the Service — including the medication library, reminders, adherence summaries, laboratory reference ranges, trend charts, or fluid goals — constitutes a medical opinion, a clinical recommendation, or a substitute for professional judgment. Never start, stop, or change any medication or dose based on the Service. Always consult your nephrologist, prescriber, pharmacist, or care team. No physician-patient, pharmacist-patient, or other professional relationship is created between you and Justin Pham LLC by your use of the Service. If you are a healthcare professional, you remain solely responsible for your clinical judgment and for compliance with your own professional and regulatory obligations, and you must not rely on the Service as a clinical decision support tool. A health report is a summary of information entered by you or a linked caregiver. We do not verify it, and it is not a medical record or a clinical assessment.

27. Emergency Use Disclaimer

PlatinumMeds is not for use in emergencies. The Service does not monitor your condition, does not detect medical emergencies, does not summon assistance, and does not transmit alerts to emergency services, clinicians, or dialysis centers. Notifications sent to a linked caregiver are ordinary push notifications and may be delayed or undelivered for the reasons described in Section 10. If you are experiencing a medical emergency, stop using the app and call your local emergency number, or go to your nearest emergency department, immediately. Do not use the Service to communicate urgent clinical concerns. Messages sent to a caregiver through the Service are not monitored by us and may not be read promptly. Blood pressure, weight, and symptom entries are not reviewed by anyone and do not trigger any alert. If a reading or symptom concerns you, contact your care team directly.

28. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, you may hold statutory rights that these Terms cannot affect, and nothing here limits those rights. Subject to the paragraph above, and to the maximum extent permitted by law: (a) The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that reminders will be delivered, or that any information in the Service is accurate, complete, or current. (b) We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with the Service, whether in contract, tort, or otherwise, and whether or not we were advised of the possibility of such loss. (c) We will not be liable for any harm arising from a missed, delayed, duplicated, or undelivered reminder or notification; from information you or a caregiver entered incorrectly; from your reliance on the medication library or on any reference range displayed in the app; from any decision made about medication, dosing, fluid intake, or treatment; from the conduct of any caregiver or other user; from the accuracy of pharmacy information supplied by third parties; or from the failure or unavailability of any third-party service. (d) Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the total amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or fifty United States dollars (USD 50.00). These limitations apply even if a limited remedy is found to have failed of its essential purpose, and they reflect a reasonable allocation of risk given that the Service is offered at low or no cost and is not a medical device.

29. Indemnification

You agree to indemnify and hold harmless Justin Pham LLC and its members, officers, employees, and contractors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or connected with:
  • your use of the Service;
  • your breach of these Terms or of any applicable law;
  • your User Content or any file you upload;
  • any information you enter about another person, including any claim that you obtained or shared their health information without proper authority; or
  • any dispute between you and a caregiver, patient, or other user.
We will notify you of any claim to which this Section applies and may participate in its defense at our own expense. You may not settle any claim in a way that imposes an obligation on us without our written consent.

30. Suspension and Termination

By you. You may stop using the Service at any time and may delete your account as described in Section 31. By us. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, where we reasonably believe that:
  • you have breached these Terms, in particular Section 8;
  • your use presents a risk to the security, integrity, or lawful operation of the Service, or to another user;
  • you are under 17 or otherwise ineligible under Section 3; or
  • we are required to do so by law.
Where the circumstances allow, we will give notice and, for a breach capable of remedy, a reasonable opportunity to remedy it. For serious breaches, including unauthorized access to another person’s data, suspension may be immediate. Effect. On termination, your licence under Section 20 ends and you must stop using the Service. Sections 12 (as to licences already granted), 19, 28, 29, and 34 to 39 survive termination. Termination does not entitle you to a refund, and does not itself cancel a subscription billed by Apple or Google — see Section 17. We may also discontinue the Service generally, in which case Section 22 applies.

31. Account Deletion

You may delete your account at any time from Settings → Delete Account. If you registered with an email address, you will be asked to re-enter your password to confirm. You may also request deletion by emailing us from your registered email address. On deletion, your account becomes inactive immediately, and any linked caregiver immediately loses access to your information. Your account then remains recoverable for 30 days: if you sign in during that period, your account and all associated data are fully restored. After 30 days, your account can no longer be restored and your personal and health information is permanently deleted. Deletion is not carried out on a fixed day and may take place some time after the 30 days end. Retention is described in full in the Privacy Policy. Deleting your account does not cancel your subscription, and no refund is due for the remainder of a paid period. Cancel through the App Store or Google Play, as described in Section 17, before deleting your account. Export any records you wish to keep before you delete your account. Once the 30-day period has passed, we cannot recover them.

32. Privacy

Our collection and use of your information is governed by the Privacy Policy, which forms part of these Terms. The Privacy Policy describes, among other things, the information we collect, how caregiver linking shares your health information, the third-party providers we use, our retention periods, the circumstances in which authorized administrators may access user information, and the rights available to you, including under the GDPR and the CCPA/CPRA. Justin Pham LLC is not a covered entity or business associate under HIPAA, and HIPAA does not apply to the information you enter into the Service.

33. Security

We employ technical and organizational measures to protect the Service and the information it holds, as described in the Privacy Policy. No system is completely secure, and we cannot guarantee absolute security. You are responsible for the security of your own account and device. Use a strong, unique password, keep your device locked and up to date, do not share your credentials, and remove caregiver links that are no longer needed. If you become aware of a security vulnerability in the Service, please report it to us at the address in Section 38 rather than disclosing or exploiting it. We will investigate reports made in good faith and will not pursue action against researchers who act responsibly and do not access, alter, or exfiltrate other users’ data.

34. Export Control

You confirm that you are not located in a country subject to a United States Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any United States Government list of prohibited or restricted parties. You must not use or export the Service in violation of United States export laws and regulations, or of any other applicable export control law.

35. Governing Law

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the State of California and the federal laws of the United States, without regard to conflict of law principles. If you are a consumer resident outside the United States, this choice of law does not deprive you of the protection of any mandatory provision of the law of your country of residence.

36. Dispute Resolution

Informal resolution first. If you have a concern, please contact us at the address in Section 38 before commencing formal proceedings. Most issues can be resolved quickly. You agree to allow us 60 days from receipt of your notice to attempt to resolve the matter informally. Venue. If a dispute is not resolved informally, it will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you and Justin Pham LLC consent to the personal jurisdiction of those courts. Time limit. To the extent permitted by law, any claim arising out of or relating to the Service or these Terms must be brought within one year of the date the claim arose, failing which it is permanently barred. Consumers outside the United States. If you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence, and nothing in this Section removes that right. Consumers in the European Union may use the European Commission’s online dispute resolution platform. [CLIENT DECISION REQUIRED — BINDING ARBITRATION] This Section currently provides for resolution in the California courts. Many US consumer applications instead require binding individual arbitration with a class action waiver, which can significantly reduce litigation exposure but must be drafted to be enforceable — including a conspicuous notice, a defined opt-out window, allocation of arbitration fees, a small-claims carve-out, and provisions addressing mass arbitration. This is a commercial and legal decision that should be taken with your attorney. If you elect arbitration, this Section must be replaced in full before publication, and a corresponding notice must appear at the top of these Terms and in the account creation flow. If you do not elect arbitration, delete this note and publish the Section as written.

37. Changes to Terms

We may amend these Terms from time to time, for example to reflect changes to the Service, to our subscription plans, or to legal requirements. The Last Updated date above will be revised. Where a change is material, we will give notice in the app or by email before it takes effect. Continued use of the Service after the change takes effect constitutes acceptance of the amended Terms. If you do not accept them, you must stop using the Service and may delete your account under Section 31. Where we materially reduce the features included in a paid plan you currently hold, the change will not apply to your existing subscription until the end of your current billing period, and you may cancel before renewal under Section 17. Amendments do not apply retroactively to a dispute of which we already have notice.

39. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Justin Pham LLC regarding the Service, and supersede any prior agreement or understanding on that subject.
